Terms & conditions

These General Terms and Conditions apply to all services provided by Hekman Housing.

Chapter 1: Definitions

  • Services: All services performed by Hekman Housing under the Agreement with the Client.
  • Property: Any building, plot, furniture, textiles, or installation to which services relate.
  • Client: The person or legal entity with whom Hekman Housing enters into an agreement.
  • Contractor: Hekman Housing.
  • Agreement: The contract between Hekman Housing and the Client, to which these terms apply.
  • Personnel: All individuals employed by or working on behalf of Hekman Housing.
  • Keys: Includes keys, key cards, remotes, or any access tool to the Property. Rate: The compensation owed by the Client to Hekman Housing for services.

Chapter 2: General Provisions

  • Article 1: Applicability These conditions apply to all offers, quotations, and agreements unless agreed otherwise in writing. Modifications may be made by Hekman Housing at any time and take effect upon written notice. Client’s own general conditions are not accepted unless expressly agreed. If a provision is void, it will be replaced by a clause that approximates its intent. Third-party services or products provided under the agreement are governed by the third-party’s terms.
  • Article 2: Offers and Quotations All offers are non-binding unless stated otherwise. Offers expire 14 days after issuance unless another term is specified. Hekman Housing may conduct credit checks before finalizing an agreement. Agreements are confirmed in writing by the Client or Hekman Housing.
  • Article 3: Amendments to Terms Hekman Housing can amend these terms unilaterally. Clients will be informed in writing; they may terminate the agreement within 30 days if they disagree. Amendments also apply to services from third parties provided through Hekman Housing.
  • Article 4: Commencement and Registration Conditions take effect on the signing date or publication date. Filed with the Chamber of Commerce and available upon request.
  • Article 5: Creditworthiness Credit checks may be performed. If needed, a deposit or guarantee may be requested. Related costs may be charged to the Client with prior notice.

Chapter 3: Execution of Services

  • Article 6: Keyholding Available as one-off or recurring (monthly, biweekly, weekly). Inspections include a standard checklist. Keys are stored securely. Client provides necessary keys and alarm codes. Data is stored and updated upon request.
  • Article 7: Storm Inspections Included with all services except the one-off. Conducted the day after a storm; findings are reported. Hekman Housing is not liable for unnoticed storm damage.
  • Article 8: Cleaning and Textile Services Available only if keyholding service is active. Client must give 48-hour notice. Client provides 3 linen sets per bed. Hekman Housing handles laundry; not liable for loss or damage unless due to gross negligence.
  • Article 9: Rental Service Guest check-in, availability, and optional extras are managed. Fees include commission and costs of partners. Client must provide three keys and sufficient access. Hekman Housing is not liable for guest damages or vacancy. Insurance is the Client’s responsibility.
  • Article 10: QR Information Card Contains guest information; limited to three free revisions. Ownership stays with Hekman Housing; must be returned upon termination. Client is responsible for accurate information.
  • Article 11: Pool Cleaning Includes water quality checks and filter cleaning. Scheduling is coordinated with rental periods. Access and equipment information must be provided by the Client.
  • Article 12: Other Services Provided based on hourly or service-based rate agreements.

Chapter 4: Obligations of the Client

  • Article 13: Client Responsibilities Timely and complete information provision. Ensure accessibility and safety. Notify of changes and maintain legal working conditions.

Chapter 5: Use of Third Parties

  • Article 14: Engagement of Third Parties Hekman Housing may delegate services to qualified third parties. Liability remains with Hekman Housing unless the third party’s error is solely responsible. Client will be informed when relevant.

Chapter 6: Working Conditions & Safety

  • Article 15: Safe Work Environment Client must ensure safe, compliant working conditions. Access and facilities must be provided. Hekman Housing may suspend services if safety is compromised.

Chapter 7: Key Management

  • Article 16: Key Responsibilities Hekman Housing safely stores and manages keys. Not liable for malfunctions unless directly caused by them. Keys must be collected within two months after contract end.

Chapter 8: Changes to Services

  • Article 17: Service Adjustments Hekman Housing may change service content or pricing. Clients may cancel the agreement if changes are material. In force majeure situations, services may be suspended.

Chapter 9: Duration and Termination

  • Article 18: Term and Termination Agreements may be fixed or indefinite. Termination requires written notice and adherence to agreed periods. Agreements automatically renew unless stated otherwise.
  • Article 19: Termination, Dissolution, Transfers Agreements may be terminated due to non-compliance, bankruptcy, or legal changes. Transfer of obligations by the Client requires written consent.

Chapter 10: Liability and Force Majeure

  • Article 20: Limitation of Liability Hekman Housing is liable only for direct damages due to intent or recklessness. No liability for indirect damages, terrorism, war, or force majeure.
  • Article 21: Indemnification & Force Majeure Client indemnifies Hekman Housing for third-party claims arising from the Client’s actions. Long-lasting force majeure allows suspension or termination.

Chapter 11: Privacy and Intellectual Property

  • Article 22: Privacy By accepting these terms, Client consents to the privacy policy
  • Article 23: Intellectual Property All materials remain the property of Hekman Housing. The Client may not alter or copy materials without consent.

Chapter 12: Payment and Rates

  • Article 24: Pricing Prices include VAT but exclude incidental costs. Prices may change due to inflation or regulation.
  • Article 25: Payment Terms Payment due within 30 days unless otherwise agreed. Late payments incur 1.5% monthly interest and may result in service suspension.

Chapter 13: Confidentiality & Staff

  • Article 26: Confidentiality Both parties must keep shared information confidential.
  • Article 27: Non-Solicitation Client may not hire or engage Hekman Housing staff for 12 months post-contract. Breach incurs a penalty of three times the employee’s gross annual salary.

Chapter 14: Disputes and Governing Law

  • Article 28: Dispute Resolution First resolved through negotiation or mediation, then arbitration if necessary.
  • Article 29: Governing Law Dutch law applies; disputes are subject to the courts in Den Haag.

Chapter 15: Complaints

  • Article 30: Complaints Must be submitted in writing within 7 days of discovery or invoice receipt. Late complaints result in forfeiture of rights.
